- Client/Buyer: Refers to the individual or entity using the services of Performax.

Services
Performax offers a range of parts and services, including but not limited to vehicle parts and accessories, steering conversions, engineering, and vehicle servicing.
Use of Services
- Clients must ensure that all information provided to Performax is accurate and complete.
- Clients must not use the services for any illegal or unauthorized purpose.
- Performax reserves the right to refuse service to anyone for any reason at any time.
Intellectual Property
All intellectual property rights related to the services provided by Performax International remain the property of Performax. Clients are not permitted to use any of Performax's intellectual property without prior written consent.
Payment Terms
- Payment terms will apply to the specific service required. Parts must be paid for up front before collection/postage. Any kind of services must be paid for on completion of the job and prior to collection.
- Clients must adhere to the payment terms specified.
- Late payments may incur additional charges.
Limitation of Liability
Performax will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of or inability to use the services, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
Termination
Performax reserves the right to terminate or suspend any services or sale to a client without prior notice if the client is in breach of these Terms and Conditions or any service agreement.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Queensland, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of Queensland.
Default
The Seller reserves the right to cancel or suspend any contract resulting from the acceptance of an Order. Additionally, the Seller may reclaim the Goods and dispose of them to recoup any losses, damages, or harm incurred if the Buyer ceases or threatens to cease business operations, undergoes a change in effective control without the Seller's consent, defaults on payments, becomes unable to pay debts as they become due, enters into a deed of company arrangement, initiates liquidation proceedings, or has a receiver or similar official appointed over its assets.
Right to Enter Premises
In relation to the above clause, the Buyer grants the Seller irrevocable authorization to enter any premises where the Goods are stored in order to reclaim possession of the Goods in which the Seller retains ownership, without incurring liability for trespassing or any resulting damage. The Seller may use the Buyer's name and act on the Buyer's behalf, if necessary.
Changes to Terms and Conditions
Performax reserves the right to modify these Terms and Conditions at any time. Clients will be notified of any changes, and continued use of the services after such changes will constitute acceptance of the new terms.
